1. Definitions

The terms and expressions listed below shall have the meanings indicated, it being understood that terms defined in the singular shall also be deemed to include the plural and vice versa.

Customer: any person or entity (natural or legal person) who purchases one or more Products through the Online Store, accepting these General Terms.

Parties: jointly Space 2000 S.p.A and the Customers.

General Terms: these general terms and conditions of sale and any future versions that may be published in the Online Store by Space 2000 S.p.A.

Online Store: the virtual store operated by Space 2000 S.p.A and accessible at the URL https://www.censuredapparel.com, through which Products can be purchased.

Sales Contracts: the contracts for the sale of Products concluded, pursuant to Art. 3, between Space 2000 S.p.A and the Customers via the Online Store.

Orders: the purchase orders for Products submitted by Customers in accordance with the General Terms and following the procedure set out in Art. 6.

Order Confirmation: the e-mail by which Space 2000 S.p.A notifies Customers of acceptance of their Orders.

Price: the sale price of the Products as indicated in the Online Store in relation to the relevant Products.

Products: the products published in the Online Store for the purpose of their sale.

Account/Profile: the area of the Online Store where Customers, after authentication, may: (i) view and amend their personal data and the addresses to which the Products under the Orders are to be shipped and delivered; (ii) view past Orders; (iii) access any other specific function related to their activity in the Online Store.


2. Purpose

2.1 The General Terms govern all Sales Contracts and form an integral part thereof.

2.2 Space 2000 S.p.A reserves the right to amend the General Terms at any time without notice; the version applicable to a Sales Contract shall be the one published in the Online Store at the time the Order is submitted by the Customer.

2.3 In the event of any conflict between these General Terms and any other terms and conditions relating to Sales Contracts published in the Online Store, these General Terms shall prevail.


3. Conclusion of Sales Contracts

3.1 Space 2000 S.p.A undertakes to send Customers the Order Confirmation within 2 business days from receipt of the Order. Within the same period, Space 2000 S.p.A may refuse or revoke an Order Confirmation if it contains an incorrect Price (even if such Price was actually displayed in the Store) compared to the price list applied by Space 2000 S.p.A, as specified in Art. 5.1.

3.2 Sales Contracts between the Parties are deemed concluded when Customers receive the Order Confirmation. If the Customer does not receive the Order Confirmation within the period indicated in Art. 3.1, the relevant Order shall be deemed refused by Space 2000 S.p.A and therefore of no effect.

3.3 By placing and completing Orders, Customers declare that they have read all instructions on the purchase process for Products under Art. 6, fully accept these General Terms, and have read all further information contained in the Online Store, including those referenced by link.

3.4 Orders will be stored in the Online Store database in accordance with Legislative Decree 30.06.2003 No. 196 (“Privacy”) and may be accessed by contacting Space 2000 S.p.A at the references in Art. 16 or by accessing the Profile.


4. Availability of Products

4.1 Without prejudice to Art. 4.6, for each Product published in the Online Store Space 2000 S.p.A indicates whether it:

(i) is available in its warehouses;
(ii) is not available in its warehouses;
(iii) is available “on request”;
(iv) is “customisable”.

4.2 The type of Products published in the Online Store and their availability may vary at any time and the Customer, by accepting these terms, agrees that such changes shall not entail any liability of Space 2000 S.p.A towards the Customer.

4.3 The indication of availability is not binding; Products marked as “not available” under Art. 4.1(ii) cannot be ordered. If a Product indicated as available becomes unavailable after the Customer submits the Order, Space 2000 S.p.A, without prejudice to Art. 3.2, undertakes to inform the Customer by e-mail of the indicative timing for new availability of the Product(s). The Customer may cancel the Order for the unavailable Product within 48 hours of receiving such communication (without prejudice to the right of withdrawal under Art. 9) by e-mailing the address specified in Art. 16. In this case, Space 2000 S.p.A will refund the Price as soon as possible to the same card or payment account used by the Customer (Products immediately available will be shipped as normal).

4.4 “On request” means that the Product is not currently available in Space 2000 S.p.A’s warehouses and will be ordered by Space 2000 S.p.A from the central warehouses of the Censured online shop after the Customer has ordered it from Space 2000 S.p.A.

4.5 “Customisable” means that the Product may be modified/adapted/personalised according to the Customer’s specifications. In such case, Customers must provide their requests in the appropriate field when submitting the Order. After sending the Order Confirmation, Space 2000 S.p.A will notify Customers by e-mail of the expected shipping date for the customised Product. Space 2000 S.p.A will use reasonable efforts to meet such date, which is however indicative and not binding.

4.6 Space 2000 S.p.A reserves the right not to indicate the availability of some or all Products published in the Online Store.


5. Price and Shipping Costs; Taxes and Duties

5.1 Prices are expressed in € (Euro), except for countries with a different currency or at the sole discretion of Space 2000 S.p.A. The applicable Price is the one published in the Online Store at the time the Customer places the Order. The Customer shall ensure awareness of the currency used for the transaction; Space 2000 S.p.A shall not be liable for any loss or damage due to the use of a different exchange rate.

5.2 Prices include VAT at the applicable rate (e.g. 22%; except for countries where the applicable VAT rate differs, such as the United Kingdom where it is 20%) when Products are shipped by Space 2000 S.p.A and delivered within the European Union. Where Products are shipped by Space 2000 S.p.A and delivered outside the European Union, Prices are exclusive of VAT.

5.3 Prices do not include shipping costs. Space 2000 S.p.A reserves the right to charge Customers a contribution towards shipping costs, which may vary depending on the delivery method, the quantity of Products to be delivered, their volume, weight and destination.

5.4 The shipping cost contribution charged by Space 2000 S.p.A is indicated separately from the Price before the Order is submitted and shall be paid by the Customer together with and at the same time as payment of the Price pursuant to Art. 7.

5.5 Any taxes, charges, duties and other levies provided for by the laws of the country to which the Products are shipped and delivered shall be entirely borne by the Customer and paid upon delivery of the Products directly to the competent tax or customs authorities or to the carrier.


6. Order Submission

6.1 In order to submit Orders, Customers may register in the Online Store by entering all mandatory data and choosing a password to place Orders and to access their Profile later on.

6.2 Customers may purchase Products by selecting them in the relevant section of the Online Store for the Product type sought and adding them to the cart. If Customers intend to purchase more than one Product, the same procedure shall be repeated by clicking on “add more products”. Once selection is complete, Customers must, if not already done, register as per Art. 6.1 or, if already registered, log in by entering e-mail and password in the relevant fields and click “proceed to checkout”. After verifying the Product details and shipping information, Customers must choose the payment method under Art. 7. After selecting the payment method, Customers may submit the Order by clicking “send/submit”. The Customer must ensure that login details are not disclosed to third parties. Space 2000 S.p.A shall not be liable if third parties access the Customer’s account using correct login credentials.


7. Payment Methods

7.1 Customers may pay the Price and the shipping cost contribution under Art. 5 by credit card, PayPal, Amazon Pay, Google Pay, cash on delivery, bank transfer, or other payment methods that may be indicated by Space 2000 S.p.A in the Online Store. Space 2000 S.p.A may change the available payment methods at any time; those published in the Online Store at the time the Order is submitted shall apply.

7.2 Credit card: the Price and shipping costs will be charged to the Customer after card data verification and authorisation by the issuing institution, simultaneously with Space 2000 S.p.A sending the Order Confirmation. Credit card data sent during the ordering process are protected and transmitted directly to the bank managing payments. Payment is made on a secure server with SSL encryption. Credit card data are not accessible by Space 2000 S.p.A or third parties, either when placing the Order or thereafter.

7.3 Bank transfer: Customers shall transfer funds to the bank details indicated in the Online Store, stating in the payment reference the order number (including initial letters) communicated by Space 2000 S.p.A at the time of order submission and in the Order Confirmation.

7.4 PayPal: upon Order submission, the web session will be redirected to PayPal’s secure website. There, Customers may complete payment of the Price and shipping costs under the conditions of use accepted with PayPal. The charge occurs simultaneously with Space 2000 S.p.A sending the Order Confirmation.

7.6 Amazon Pay: analogous to PayPal; redirection to Amazon Pay’s secure website; charge occurs simultaneously with Space 2000 S.p.A sending the Order Confirmation.

7.7 Google Pay: analogous process; charge occurs simultaneously with the Order Confirmation being sent.

7.8 If requested by the Customer when submitting the Order, Space 2000 S.p.A will send a invoice by e-mail or post. For issuance, the information provided by the Customer shall be relied upon. No changes can be made after the invoice has been issued.

7.9 The information received by Space 2000 S.p.A pursuant to this Art. 7 will be used exclusively to complete the sale of the Products and any refund procedures in the event the right of withdrawal under Art. 9 is exercised by the Customer.


8. Shipping and Delivery of Products

8.1 For the purposes of these Terms, “shipping” by Space 2000 S.p.A means handing over the Products to the couriers selected from time to time pursuant to Art. 8.2. Space 2000 S.p.A is not obliged to ship the Products until payment of the Price has been received; once payment has been received, Space 2000 S.p.A will arrange collection from its warehouses:

(i) for available Products (as defined in Art. 4):
– within 3 business days from receipt of the card charge authorisation under Art. 7.2 for credit card payments;
– within 3 business days from when confirmation of payment is made available to Space 2000 S.p.A for payments other than by credit card;

(ii) for Products that were available but became unavailable (Art. 4.3): within 3 business days from when such Product(s) become available again; if they do not become available, the amount paid will be refunded as soon as possible via the same payment method and the Customer will be notified by e-mail;

(iii) for “on request” Products (Art. 4.4): within 3 business days from when they are available at Space 2000 S.p.A’s warehouses;

(iv) for “customised” Products (Art. 4.5): within 3 business days from when they are available at Space 2000 S.p.A’s warehouses;

(v) where availability is not indicated (Art. 4.6) and the Products are available at the time of Order: timelines as under (i);

(vi) where availability is not indicated and the Products are not available at the time of Order: within 3 business days from when the Products are available at Space 2000 S.p.A’s warehouses.

8.2 Space 2000 S.p.A arranges shipment to the countries indicated in the Online Store via express couriers selected according to the Product and destination. Products are shipped by Space 2000 S.p.A and delivered by the selected courier to the address indicated by the Customer at registration under Art. 6.1 or the different address indicated when placing the Order.

8.3 Space 2000 S.p.A will use all reasonable efforts to ensure that Products shipped under Arts. 8.1 and 8.2 are delivered by the selected couriers:
within 48 hours from the shipping date in Italy;
within 10 days from the shipping date outside Italy.
Space 2000 S.p.A assumes no liability for any delay in delivery.

8.4 The delivery terms in Art. 8.3 are not binding and, as Space 2000 S.p.A cannot directly control deliveries after shipment, it shall not be liable in any way for failure to meet them.

8.5 To enable Customers to track the status of Orders, Space 2000 S.p.A generates an order number which, when entered in the “My Orders” section of the Online Store, allows all information relating to the Orders to be checked.

8.6 Customers may also check Order status via the courier’s online “Order Tracking” function. Tracking is available only after shipment and by using the tracking data sent by Space 2000 S.p.A by e-mail or by accessing the Profile.

8.7 Upon delivery, the Customer—or any person authorised by the Customer at the delivery address specified in the Order Confirmation—must verify that:
(i) the Products correspond to the delivery note (DDT) in terms of quantity and type;
(ii) the packaging is intact, undamaged, dry and not otherwise altered, including the sealing materials.

8.8 Any damage to the packaging must be immediately reported by noting a reservation on the courier’s delivery receipt. Once the document is signed without reservation, the Customer may no longer raise any claim with Space 2000 S.p.A regarding the external condition of the delivered goods.

8.9 Products may be delivered by couriers only to the Customer or to authorised persons at the address; the recipient must sign to certify delivery. Couriers do not deliver to P.O. boxes or by inserting Products into mailboxes or similar.


9. Right of Withdrawal

9.1 Where the Customer is a consumer (a natural person acting for purposes outside their trade, business, craft or profession), the Customer shall be entitled, pursuant to Art. 64 of Legislative Decree No. 206/2005, to withdraw from the Sales Contract within 30 days from the date of receipt of the Products. The right of withdrawal shall be exercised by sending Space 2000 S.p.A a written notice via the customer service available in the Online Store or by e-mail to the address in Art. 16, stating:
(i) the intention to exercise the right of withdrawal;
(ii) the Order number relating to the Sales Contract from which the Customer intends to withdraw.

9.2 If the Customer exercises the right of withdrawal under this Art. 9:
(i) the Customer undertakes to return the Products within 10 business days from the date of the withdrawal notice;
(ii) all return costs shall be borne entirely by the Customer;
(iii) Space 2000 S.p.A will refund the Price as soon as possible and in any event within 30 days from receipt of the withdrawal notice, provided that:
– the Products have been returned and are intact;
– the original packaging is also returned and is intact;
– any accessories, instruction manuals, etc. are returned and are intact;
– the Products have not been used;
(iv) Space 2000 S.p.A will inform the Customer of the refund method and may, for this purpose, request the Customer’s bank details (IBAN and account holder).

9.3 If the Customer exercises the right of withdrawal in a manner not compliant with the procedures and time limits set out in this Art. 9, the Customer shall not be entitled to a refund of the Price.

9.4 As an alternative to the right of withdrawal under this Art. 9, consumers (as defined in Art. 9.1) may opt for a “product exchange” under the terms and procedures specified in the Online Store.


10. Product Defects / Non-Conformities

10.1 Where Products are covered by a commercial/conventional warranty recognised by the manufacturer, any defects/non-conformities must be reported by the Customer directly to the manufacturer in accordance with the terms and procedures indicated in such warranty.

10.2 Consumers (Art. 9.1) may, within the period provided for by Art. 132 of Legislative Decree 206/05 (Consumer Code), request from the seller the remedies provided therein for any lack of conformity existing at the time of delivery.


11. Product Liability

The manufacturer of the Products is responsible for any damage caused by defects in the Products.


12. Privacy

Space 2000 S.p.A declares and warrants that Customers’ personal data will be processed in accordance with Legislative Decree 196/03, as subsequently amended. Details on data processing are provided to Customers at the time of registration pursuant to Art. 6.1 or 6.2.


13. Errors and/or Inaccuracies in the Online Store

13.1 Space 2000 S.p.A agrees to regularly check the Online Store to avoid possible errors or inaccuracies. However, the Online Store may contain, or over time come to contain, errors, inaccuracies or omissions.

13.2 Space 2000 S.p.A therefore reserves the right to correct errors, inaccuracies or omissions in the Online Store even after an Order has been submitted and further reserves the right to change or update information at any time without prior notice to Customers.


14. Intellectual Property

All intellectual property rights related to the Online Store (including its contents) are the exclusive property of Space 2000 S.p.A and/or Censured. The Online Store and its contents may not be reproduced, in whole or in part, transmitted by electronic or conventional means, modified, linked or used for any purpose without the prior written consent of Space 2000 S.p.A.


15. Governing Law

15.1 The General Terms and the Sales Contracts are governed by Italian law (in particular Legislative Decree of 06/09/2005 No. 206 – distance contracts, Arts. 50–67 – and Legislative Decree of 09/04/2003 No. 70 on electronic commerce) and shall be interpreted accordingly.

15.2 Any dispute arising in connection with the General Terms and/or the Sales Contracts shall be subject to the exclusive jurisdiction of the Court of Turin, except for consumers, who may initiate an out-of-court dispute resolution procedure in accordance with Arts. 141 et seq. of Legislative Decree of 06/09/2005 No. 206. If the Customer initiates such a procedure, Space 2000 S.p.A undertakes to participate in an amicable settlement attempt that the user may bring before RisolviOnline, an independent institutional service provided by the Arbitration Chamber of the Milan Chamber of Commerce.
